Lisbon wants a powerful aviation partner without surrendering control of its flag carrier.

Portugal has opened negotiations with Air France-KLM and Lufthansa after receiving closely matched binding offers for a minority stake in TAP Air Portugal. The government will ask both groups to improve their proposals before selecting a preferred bidder for exclusive negotiations. The announcement leaves the outcome unresolved and does not guarantee that either offer will ultimately be accepted.
The privatisation plan permits the sale of up to 49.9% of TAP. A strategic investor may acquire 44.9%, while as much as 5% is reserved for employees, allowing the Portuguese state to retain a controlling 50.1% stake. IAG, the parent company of British Airways and Iberia, withdrew earlier in the process, leaving two of Europe’s largest airline groups competing for access to TAP’s network and valuable airport slots.
Price will not be the government’s only consideration. Bidders are expected to protect TAP’s Portuguese identity, headquarters and Lisbon hub while expanding operations in Porto, Faro, Madeira and the Azores. Their proposals are also being assessed according to fleet investment, maintenance capacity, employment commitments, financial strength and connectivity with Brazil, Portuguese-speaking African countries and Portuguese communities abroad.
Air France-KLM argues that TAP would complement its multi-hub model and has presented a plan covering passenger services, cargo, maintenance and the airline’s loyalty programme. Lufthansa is promoting a long-term partnership built around TAP’s South Atlantic network and its own planned maintenance investment near Porto. These are competing corporate proposals, not yet binding commitments imposed by the Portuguese government.
The selected investor could participate in TAP’s management before the capital transaction is completed, which is expected no earlier than the summer of 2027. The sale would also require government approval and scrutiny from European competition authorities. Portugal retains the option of abandoning the process if neither final proposal adequately protects national interests. The contest therefore represents more than an airline acquisition: it will determine which European aviation alliance gains a stronger bridge between Europe, South America and Africa.
