A creator’s endorsement moved the market, but GoPro’s future now depends on a much larger corporate transaction.
SAN MATEO, UNITED STATES
YouTube creator and filmmaker Mark Fischbach, known as Markiplier, disclosed ownership of 13.5 million GoPro Class A shares. The position represents 8.5 percent of that share class and approximately 7.3 percent of all common shares, making him the company’s largest external individual shareholder rather than an undisputed controlling owner.
The investment was reported through a Schedule 13G filing, normally associated with passive holdings rather than attempts to control management. Fischbach said he considered GoPro undervalued and wanted to support technology that could make filmmaking more accessible. The filing did not disclose his acquisition cost, meaning later estimates placing the investment near $20 million reflect changing market prices rather than a confirmed amount paid.
News of the stake generated intense retail-investor interest and sent GoPro shares sharply higher. Fischbach had recently praised the company’s Mission 1 ILS camera in a video comparing it with more expensive professional equipment. Because that presentation included an affiliate sales code without mentioning his ownership position, the overlap between product endorsement and financial interest has raised questions about transparency.
The investment arrived while GoPro was experiencing declining sales, significant quarterly losses, workforce reductions and concerns about its ability to continue operating independently. Competition from DJI and Insta360 has weakened its position in action cameras, while smartphones have absorbed many recording functions once requiring specialised equipment.
GoPro has now agreed to merge with Starman Optical in a transaction providing shareholders with an aggregate cash payment of $285 million, equivalent to approximately $1.14 per share before possible adjustments. Existing shareholders will retain roughly 10 percent of the combined company, while approximately $92 million in GoPro debt is expected to be repaid when the deal closes.
The merger would preserve GoPro’s consumer-camera and subscription businesses while expanding into optical transceivers, artificial-intelligence infrastructure, defence, robotics and aerospace. Fischbach’s investment helped restore attention to the brand, but it did not resolve its structural problems. The pending transaction, still subject to regulatory and shareholder approval, will determine the value and influence of his position.
